These Terms & Conditions (“Terms”) apply to all services provided by Innervisions Websites (“Innervisions”, “we”, “our”, “us”) to clients (“you”, “the client”). By commissioning work or using our services, you agree to be bound by these Terms.

1. Commencement of Work

  • No work will commence until:
    • A project proposal/quotation has been accepted, and
    • A deposit payment and/or signed Innervisions Work Agreement Form has been received.
  • For medium- to large-scale projects, a written brief must be supplied by the client and agreed upon before commencement.

2. Payment Terms

  • A deposit is required before work begins:
    • Projects valued at $600–$1,000: A $200 deposit is required.
    • Projects over $1,000: 30% deposit.
  • Final payment is due on project completion and prior to handover, unless otherwise agreed.
  • Invoices are payable within 7 days.
  • Projects exceeding 4 weeks in duration will be subject to monthly progress invoices based on work completed.
  • Deposits are non-refundable.
  • Failure to pay invoices may result in the suspension of services or temporary deactivation of the website until payment is made.

3. Fees for Service & Additional Work

  • Fees are based on the accepted Project Proposal/Quotation.
  • Any work requested outside the agreed scope will be treated as Additional Services and billed separately.
  • Excess work includes:
    • Additional features or changes not in the original proposal.
    • Author’s edits after final sign-off.
    • Formatting or publishing more text/images than specified in a package.
  • An amended proposal/quote will be issued for approval before additional work proceeds.

4. Author’s Edits

  • Clients are responsible for ensuring that all supplied content is pre-proofread and error-free.
  • The author’s edits (content changes made after approval or sign-off) will be billed at an hourly editing rate.
  • Urgent edits (required within one business day) may incur additional charges.

5. Content Supply

  • All content, images, and materials must be supplied before work begins or within 2 weeks of deposit payment.
  • If content is delayed, progress invoices may still be issued based on work commenced.
  • We do not accept liability for errors in client-supplied content.

6. Urgent Work

  • “Urgent work” is any request not booked with at least 4 days’ notice.
  • Urgent jobs may incur a 150% loading fee.
  • While all care will be taken, Innervisions is not responsible for errors or compromises in urgent jobs caused by short deadlines or client delays.

7. Schedule Guarantee

  • If Innervisions fails to meet an agreed-upon project deadline solely due to our fault, a 10% discount will be applied to the outstanding project balance.
  • This guarantee excludes delays caused by:
    • Client delays or failure to provide content.
    • Author’s edits or variations.
    • Third-party service providers (e.g., printers, hosts).

8. Completion & Non-Completion of Services

  • If a client cancels a project after approval and payment of the deposit, the full project fee remains payable.
  • Completed projects will be tested for functionality before delivery. We do not guarantee the functionality of our products after third-party modifications.

9. Intellectual Property & Copyright

  • All intellectual property created by Innervisions remains our property until full payment has been received.
  • Upon full payment:
    • Usage rights and copyright for final deliverables transfer to the client.
    • Innervisions retains ownership of source code, frameworks, and design methodologies used in development.
    • We retain the right to showcase work in our portfolio and marketing materials.
  • All client-supplied content must be copyright-cleared. We accept no responsibility for infringements caused by client-supplied material.

10. Confidentiality

We respect the confidentiality of your business and project information and will not disclose it to third parties without your consent, unless required by law.

11. Client Commitment

  • Clients must commit to supplying all required information, artwork, and approvals on time.
  • Failure to provide timely input may result in project delays, additional fees, or temporary suspension of the project.
  • For urgent projects, please provide after-hours contact details.

12. Website Access & Handover

  • For Content Management System (CMS) websites, user access will not be granted until final payment has been made.
  • After handover, the client is responsible for content management and website maintenance unless otherwise agreed.

13. Promotion

Innervisions reserves the right to link to completed projects from our portfolio or promotions page, unless otherwise agreed.

14. Liability

  • We will provide services with due care and skill.
  • To the maximum extent permitted by law, Innervisions is not liable for:
    • Hosting failures, cyberattacks, or issues with third-party plugins.
    • Business interruption, data loss, or loss of profits.
  • Our total liability is limited to the fees paid by you for the relevant service.

15. Termination

  • Either party may terminate by written notice if the other party breaches these Terms and fails to remedy within a reasonable time.
  • All fees for work completed up to termination remain payable.

16. Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia. Disputes will be subject to the exclusive jurisdiction of the courts of NSW.

17. Acceptance of Terms

By accepting a Project Proposal or making a deposit payment, you acknowledge that you have read and agree to these Terms & Conditions.
